Terms and Conditions of Use for Gymkhana Tracker Software

1. Acceptance of Terms

By accessing, downloading, installing, or otherwise using Gymkhana Tracker Software ("Software") developed and provided by Painted Star Equestrian LLC ("PSE Labs," "we," "us," or "our") through pselabs.tech, you explicitly acknowledge and agree to comply fully and unconditionally with these Terms and Conditions ("Agreement"). If you do not agree to these terms in their entirety, you must immediately discontinue use of the Software.

We reserve the exclusive right, at our sole discretion, to modify this Agreement at any time without prior notice.

2. Ownership, Intellectual Property, and License

2.1 Exclusive Ownership

You expressly acknowledge and agree that all intellectual property rights, including but not limited to copyrights, trademarks, patents, trade secrets, and proprietary data associated with the Software, remain exclusively and irrevocably the sole property of PSE Labs. Use of the Software does not convey or transfer any ownership rights whatsoever.

2.2 Limited and Revocable License

We grant you a non-exclusive, revocable, limited license solely for personal, non-commercial use of the Software. We reserve the absolute right to terminate or revoke this license at any time without cause or notice.

2.3 Absolute Prohibitions

You agree NOT to:

Copy, distribute, modify, reverse engineer, decompile, or disassemble the Software.
Create derivative works or products using or derived from our Software.
Share access, passwords, or licenses without explicit written permission.
Attempt to circumvent, disable, or bypass security or proprietary measures within the Software.

3. Data Collection, Retention, and Usage

3.1 Exclusive Ownership of Data

You expressly acknowledge and consent that any and all data collected, processed, or generated through your use of the Software ("Data") is exclusively owned by PSE Labs. You irrevocably transfer all right, title, and interest in and to such data to us without any conditions or compensation whatsoever.

3.2 Unrestricted Data Usage

PSE Labs retains the unconditional right to access, analyze, aggregate, monetize, commercialize, share, disclose, and use data collected through the Software in any manner and for any purpose, including but not limited to product development, advertising, marketing, and third-party transactions.

3.3 No Expectation of Privacy

You explicitly acknowledge and agree that you have no expectation of privacy regarding any data entered into or captured by the Software. All information provided or collected is accessible by us at all times, without notice or further consent required.

4. Payments and Refunds

4.1 Payments Non-Refundable

All payments made to PSE Labs for the use of the Software, including but not limited to subscriptions, fees, or other charges, are final and explicitly non-refundable. You waive all rights to dispute, request refunds, or seek financial recourse against PSE Labs under any circumstances.

5. Disclaimer of Warranties and Liability

5.1 Software Provided "As-Is"

The Software is provided strictly "AS-IS," without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, security, accuracy, reliability, or non-infringement.

5.2 Absolute Limitation of Liability

Under no circumstances shall PSE Labs, its directors, employees, agents, affiliates, or representatives be liable for any damages whatsoever (including direct, indirect, incidental, consequential, punitive, special damages, or loss of profits) arising from or relating to your use or inability to use the Software, regardless of the foreseeability of such damages.

6. Indemnification

You expressly agree to indemnify, defend, and hold harmless PSE Labs, its affiliates, officers, directors, employees, agents, licensors, and partners from and against any and all liabilities, claims, losses, damages, judgments, settlements, or expenses, including attorney's fees, arising out of or in connection with:

Your use or misuse of the Software;
Your breach or alleged breach of these Terms;
Your violation of any laws or regulations;
Any claims by third parties relating to your use of the Software.

7. Termination

PSE Labs reserves the absolute right, at its sole discretion, to immediately suspend, terminate, or restrict your access to the Software for any reason or no reason at all, without notice, liability, or compensation.

8. Governing Law and Dispute Resolution

8.1 Governing Law

This Agreement shall be governed exclusively by the laws of the State of California, without regard to its conflict of laws provisions.

8.2 Mandatory Arbitration

You expressly agree that any and all disputes, claims, or controversies arising from or related to this Agreement shall be exclusively resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in California. You waive your right to participate in class actions, representative actions, or class-wide arbitrations.

9. General Provisions

9.1 Entire Agreement

This Agreement constitutes the entire and exclusive understanding and agreement between you and PSE Labs, superseding all prior agreements, understandings, or representations, whether oral or written.

9.2 Severability

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain fully enforceable to the greatest extent permissible by law.

9.3 No Waiver

Any failure by PSE Labs to enforce any provision of this Agreement shall not be considered a waiver of future enforcement rights or any other rights herein.

9.4 Assignment

PSE Labs reserves the right to freely assign or transfer this Agreement, in whole or part, without consent. You are prohibited from assigning or transferring your rights or obligations under this Agreement without our explicit written consent.
